Portage Point supported the complex acquisition, merger and consolidation of MOC Products, positioning the business for scalable, long-term value creation

SITUATION OVERVIEW

MOC Products is a leading manufacturer, distributor and supplier of performance fluids and maintenance, repair and operations solutions for the automotive aftermarket. The Company previously operated as six distinct businesses – one manufacturer and five regional distributors. The businesses were managed independently without centralized operational or financial structure. LKCM engaged Portage Point as sole advisor to lead buy-side M&A advisory, full-scope diligence, acquisition financing and operational performance improvement support to combine the independent entities.

PORTAGE POINT APPROACH

  • Delivered an integrated, end-to-end transaction workstream spanning financial due diligence, Quality of Earnings (QofE), tax, operational due diligence, valuation, capital advisory and Office of the CFO (OCFO) support
  • Established a defendable earnings baseline by separating QofE from synergy upside, negating claimed adjustments and strengthening underwriting confidence
  • Designed a Day One and 100-Day roadmap to convert diligence into execution, aligning integration priorities, synergy capture and operational accountability from close
  • Sequenced diligence insights to accelerate lender underwriting, expanded the lender universe from three institutions to more than 25 and secured financing to support the merger
  • Built centralized reporting, KPI governance, treasury and working capital infrastructure to enhance visibility, normalize the opening balance sheet and support scalable growth

POSITIVE IMPACT

Portage Point’s full scope diligence helped quantify $9 million of operational synergies, minimize tax exposure and identify and mitigate risks throughout the purchase agreement negotiations.  

After the integration is complete, the Company will operate as a cohesive national platform with centralized financial infrastructure and clearly defined embedded value creation levers, positioning LKCM to capture upside and drive sustained EBITDA expansion from a stronger enterprise foundation.
